London Wolt LP , s. r. o. (referred to here as “London Wolt LP”) provides its Service (as defined below) to You through its web site located at www.londonwolt.com (the “Site”) and *.londonwolt.com (URL of your account), subject to this Terms of Service agreement (“TOS”).
By accepting this TOS or by accessing or using the Service or Site, You acknowledge that you have read, understood, and agree to be bound by this TOS. If You are entering into this TOS on behalf of a company or other legal entity, You represent that You have the authority to bind such entity and its affiliates to these TOS, in which case the terms “You” or “Your” shall refer to such entity and its affiliates. If You do not have such authority, or if You do not agree with these TOS, You must not accept these TOS and may not use the Service.
By using the London Wolt hosted account (“Service”), all services of London Wolt LP, s.r.o., you are agreeing to be bound by the following terms and conditions (“Terms of Service”).
London Wolt LP reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. If any change to this TOS is not acceptable to You, your only remedy is to stop accessing and using the Service.
The “Service” includes (a) the Site, (b) the LiveAgent help desk and chat system, tools and services provided through the Site and by the LiveAgent API made available via the Site, and (c) all software, data, text, images, sounds, video, and content made available through the Site or services, or developed via the LiveAgent API (collectively referred to as the “Content”).
Any new features added to or augmenting the Service are also subject to this TOS.
Subject to the terms and conditions of this TOS, You may access and use the Service only for Your internal business purposes as contemplated by the Agreement. You shall not:
Subject only to the limited right to access and use the Service expressly granted to You under this TOS, all rights, title and interest in and to the Service and its components will remain with and belong exclusively to London Wolt LP. You shall not modify, adapt or hack the Service to falsely imply any sponsorship or association with London Wolt LP, or otherwise attempt to gain unauthorized access to the Service or its related systems or networks.
You are responsible for all information, data, text, messages or other materials that You post or otherwise transmit via the Service. You are responsible for maintaining the confidentiality of Your login and account and are fully responsible for any and all activities that occur under Your login or account. You agree and acknowledge that Your login may only be used by one (1) person – a single login shared by multiple people is not permitted. The system will automatically detect such behavior and You agree that London Wolt LP can charge you an additional monthly fee for it.
London Wolt LP reserves the right to access any or all Your accounts in order to respond to Your requests for technical support. We shall maintain appropriate administrative, physical and technical safeguards for protection of the security, confidentiality and integrity of Your data. We will not disclose Your data except if compelled by law or if permitted by You.
You understand that the technical processing and transmission of the Service, including Your content, may be transferred unencrypted and involve:
The failure of London Wolt LP to exercise or enforce any right or provision of this TOS shall not be a waiver of that right. You acknowledge that this TOS is a contract between You and London Wolt LP, even though it is electronic and is not physically signed by You and London Wolt LP, and it governs Your use of the Service and takes the place of any prior agreements between You and London Wolt LP.
Violation of any of these agreements will result in the termination of your Account. While London Wolt LP prohibits such conduct and Content on the Service, you understand and agree that London Wolt LP cannot be responsible for the Content posted on the Service and you nonetheless may be exposed to such materials. You agree to use the Service at your own risk.
All plans come with an initial free trial period of 14 days.
A valid credit card is required for paying accounts. All recurring payments are processed by our payment processors Braintree, Stripe or PayPal. If You do not provide Your credit card details to London Wolt LP within the free trial period, Your account will be suspended and can only be reactivated by submitting Your credit card information. Once You have provided credit card details, You will be promptly billed and Your trial period will terminate.
The Service is billed in advance on a monthly basis and is non-refundable (pay-as-you-go basis). There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.
For any upgrade or downgrade in plan level, your credit card that You provided will automatically be charged the new rate on Your next billing cycle.
Downgrading your Service may cause the loss of Content, features, or capacity of your Account. London Wolt LP does not accept any liability for such loss.
The Owner of the account is entitled to request an update to the billing information contained on the invoices for the usage of the Service. The update must be requested via email sent to [email protected] within the first 15 days of the last invoice issue. A credit memo and an updated invoice containing the new billing information will be issued to You. Requests submitted past the 15 days since the last issue will be rejected and You will have to wait for the new invoice to be issued on the next billing date.
Emails sent from an account will be saved in the database for the period of 2 months.
Comprehensive listing of raw clicks will be saved in the database for the period of 6 months.
If the customer has been assigned with a proper and valid VAT ID (according to European Law), the customer is solely responsible for applying the VAT ID in the necessary field in their customer profile. London Wolt LP will not be refunding any customers who fail to apply their VAT ID on their own.
You are solely responsible for properly canceling your account. You can cancel your account at any time by going to the My Account section in your panel and choosing to cancel your subscription.
All of your content (text and files) will be immediately deleted from the service upon cancellation. This information can not be recovered once your account is canceled.
If you cancel the service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again.
London Wolt LP, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other London Wolt LP service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. London Wolt LP reserves the right to refuse service to anyone for any reason at any time.
London Wolt LP reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice and refuse any and all current and future use of the Service, suspend or terminate your account (any part thereof) or use of the Service and remove and discard any of Your content in the Service, for any reason, including, if London Wolt LP believes that You have violated these TOS.
London Wolt LP will use all reasonable efforts to contact You directly via email or phone to warn You prior to suspension or termination of Your account. Any suspected fraudulent, abusive, or illegal activity that may be grounds for termination of Your use of Service, may be referred to appropriate law enforcement authorities.
Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the London Wolt LP Site ( www.londonwolt.com ) or the Service itself.
London Wolt LP shall not be liable to You or to any third party for any modification, price change, suspension or discontinuance of the Service.
All content posted on the Service must comply with EU copyright law.
We claim no intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours. However, if you or anyone else with an account under your account make any content public, you agree to allow others to view and share your Content.
London Wolt LP does not pre-screen Content, but London Wolt LP and its designee have the right (but not the obligation) in their sole discretion to refuse or remove any Content that is available via the Service.
Your use of the Service is at Your sole risk. The service is provided on an “as is” and “as available” basis.
Technical support is only provided to paying account holders and is only available via email, phone and online chat during business days 8:00 – 16:00 GMT+1.
You understand that London Wolt LP uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, London Wolt LP, or any other London Wolt LP service.
You may not reverse engineer or reuse source code that is in public view. This includes any and all javascript.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, computer code that powers the Service, or access to the Service without the permission by London Wolt LP.
We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
Verbal, physical, written or other abuse (including threats of abuse or retribution) of any London Wolt LP customer, employee, member, or officer will result in immediate account termination.
You understand that the technical processing and transmission of the Service, including your Content, may be transfered unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
You must not upload, post, host, or transmit unsolicited email or “spam” messages. This also includes Opt-in Opt-out mail programs. We have the right to stop your account if these rules are breaken.
You must not transmit any worms or viruses or any code of a destructive nature.
If your bandwidth usage exceeds monthly limit, or significantly exceeds the average bandwidth usage, we reserve the right to immediately suspend your account or throttle your file hosting until you can reduce your bandwidth consumption or upgrade your account.
London Wolt LP does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations.
You expressly understand and agree that London Wolt LP shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if London Wolt LP has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; or (v) any other matter relating to the service.
The failure of London Wolt LP to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and London Wolt LP and govern your use of the Service, superseding any prior agreements between you and London Wolt LP (including, but not limited to, any prior versions of the Terms of Service).
